BY-LAWS OF

The Georgia Society of Healthcare Volunteers Incorporated

ARTICLE I

NAME AND EMBLEM

Section 1The name of this organization shall be the Georgia Society of Healthcare Volunteers, Inc., a not-for-profit corporation, hereinafter referred to as GSHV.

Section 2The emblem of GSHV was adopted by the original Board of Directors of GSHV in 2020.

ARTICLE II

MISSION STATEMENT

The purpose of the GSHV shall be exclusively charitable and educational in nature.

In particular, the purposes shall be:

  1. To assist in the training of volunteers and health care professionals.
  2. To promote, coordinate and encourage volunteer health care for volunteer organizations and related activities throughout the state.

ARTICLE III

MEMBERSHIP AND DUES

The corporation shall have only one class of members. Except as expressly provided in or authorized by the articles of incorporation, the Bylaws of this corporation, or provisions of law, all memberships shall have the same rights, privileges, restrictions, and conditions.

Section 1Membership shall be composed of healthcare volunteers, auxiliaries, or other organized service groups whose purposes and activities complement the purposes of GSHV, herein referred to generally as volunteer organizations. The Board of Directors shall bear the sole discretion and authority to admit additional members to GSHV. Requests for membership application will be made through the VP of Membership. After approval, the President shall notify the organization of its acceptance into GSHV.

Section 2Dues shall be determined upon the recommendation of the Board of Directors and shall be subject to a quorum vote of the elected voting delegates. Notice of proposed changes shall be submitted in writing to the member healthcare volunteer organizations at least 45 days prior to a vote being taken.

Section 3All GSHV dues are payable starting January 1 and shall become delinquent after March 31. If not paid by April 1 of the same year, membership shall be subject to suspension until dues are paid. All new member dues are payable with the submission of the membership application and will be prorated. Should the application not be approved, payment will be returned in full.

ARTICLE IV

FISCAL YEAR

The financial year of this Association shall be based on a Calendar Year, January 1-December 31.

ARTICLE V

Executive OFFICERS

Section 1The Executive officers of GSHV shall be President, President-elect, VP of Membership, VP of Education, Secretary, Treasurer and Parliamentarian. These officers shall be elected and assume their duties as of January 1.

Section 2 All officers shall serve a two-year term with the exception of the treasurer and secretary who can serve up to a four-year term.

Section 3A vacancy in any elected position may be filled by the appointment of the members of the Executive Board.

ARTICLE VI

DUTIES OF EXECUTIVE OFFICERS

Section 1The President shall be the CEO and shall preside at all meetings of the GSHV. The President shall establish and direct a Chain of Command for the organization. The President shall be an ex-officio member of all committees except the Nominating Committee. The President shall appoint a Parliamentarian and all Standing Committee Chairpersons as necessary to carry out the Goals, objectives, and Business of GSHV. As well, the President, with the help of a conference committee, will plan the annual GSHV Conference.

Section 2 The President-elect, in the absence or disability of the President shall assume the duties and have the authority and responsibility of the President. The President-elect will be responsible for shadowing the President and assisting the President in planning the annual Conference. The President-elect shall also oversee the nominating committee to elect officers.

Section 3 The VP of Membership shall, in the absence of the President and the President-elect, perform the duties of the President. The VP of Membership will be responsible for keeping a file of members and disseminate any pertinent information to members and perspective members.

Section 4The VP of Education shall collect and disseminate information to member organizations about the current changes in healthcare and policies. The VP of Education will, with the help of the Educational Advisor, oversee contacting workshop, webinar and Annual Conference presenters.

Section 5 The Secretary shall take minutes of all meetings, Executive and committee meetings as needed, have custody of all reports, and shall perform other duties as may be required. All Executive Board minutes should be disseminated by email to the Executive Board within a week of the meeting. Likewise, all committee minutes should be disseminated to committee members within one week of the meeting. The Secretary should also be responsible for all correspondence, including birthday and sympathy cards, to GSHV members.

Section 6 The Treasurer shall be bonded and receive all funds paid to the GSHV. The treasurer shall deposit all funds in a bank in the name of GSHV, Inc. The treasurer shall pay such bills as approved and keep an itemized account of all receipts and disbursements. As well, the treasurer will present a report of expenditures, income, and balances at each Executive Board meeting. The Treasurer shall send a Dues Invoice to all member organizations at the beginning of the financial year. At the end of each financial year, the Treasurer shall submit all financial records to an accountant for preparation of the appropriate tax forms.

Section 7The assistant treasurer will be appointed by the President of the organization. The Assistant treasurer will hold this position on a yearly basis. There is no time limit for term of office.

ARTICLE VII

ELECTIONS

Section 1A slate of officers shall be presented to the voting body by the chairperson of the Nominating Committee and elected by a simple majority vote by December 1. Terms of offices shall commence on January 1.

ARTICLE VIII

MEETINGS OF GSHV

Section 1The Executive Board shall have four scheduled meetings each year. Committees shall meet as necessary and report to the Executive Board.

Section 2 There will be an Annual Meeting/Conference of GSHV. The purpose of the meeting shall be educational and to conduct the business of the Association.

Section 3 Any special meeting of the GSHV must be called by the President upon written request from any member healthcare volunteer organization. Notices of such special meetings must be mailed or emailed to each organization in good standing not less than fourteen (14) days in advance of the meeting and only business identified in the email may be transacted.

ARTICLE IX

PARLIAMENTARY AUTHORITY

Robert’s Rules of Order Newly Revised shall govern GSHV in all cases to which they are applicable and in which they are not inconsistent with these Bylaws or any special rules of order GSHV may adopt.

ARTICLE X

AMENDMENTS TO BYLAWS

The Executive Board of GSHV may provide for such Bylaws for conducting its affairs and the carrying out of its purposes as deemed necessary. These Bylaws may be amended by a majority vote of the Executive Board and by one voting officer of each member organizations in good standing at any regular or special meeting provided:

  1. Notice of the proposed amendment (s) is given in writing at least 14 days prior to the Board Meeting.
  2. The amendment (s) shall become effective immediately following an affirmative vote.

ARTICLE XI

AMENDMENTS TO POLICIES

The Executive Board may amend the Standing Rules at any Regular or Special Meeting provided:

  1. A majority vote of the Executive Board is required for adoption.
  2. The amendment (s) shall become effective immediately following an affirmative vote.

Adoption of By-laws

We, the undersigned are of the initial directors or incorporators of this incorporation, and we consent to, and herby do, adopt the foregoing by-laws, consisting of five (5) pages. As the bylaws of this corporation.
